USE OF WEB BEACONS
Chromaflo Technologies web pages may contain electronic images known as web beacons - sometimes called single-pixel gifs - that allow Chromaflo Technologies to count users who have visited those pages and to deliver co-branded services. Web beacons are not used to access your personally identifiable information on the Site; they are a technique we use to compile aggregated statistics about Site usage. USE OF THIRD PARTY AD NETWORKS
The majority of the online banner advertisements you see on the Site are displayed by Chromaflo Technologies. In addition, Chromaflo Technologies may also allow other companies, called third-party ad servers or ad networks, to display advertisements on the Site. To do this, ad networks place a persistent cookie on your computer. Doing this allows the ad network to recognize your computer each time they send you an online advertisement. In this way, ad networks may compile information about where you, or others who are using your computer, saw their advertisements and determine which ads are clicked on. ACCESS AND INTERFERENCE

You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any service offered on the Site. Much of the information on the Site is updated on a real time basis and is proprietary or is licensed to Chromaflo Technologies by the users or third parties. You agree that you will not copy, reproduce, alter, modify, create derivative works , or publicly display any content from our Site without the prior expressed written permission of Chromaflo Technologies or the appropriate third party.

TERMINATION/ACCESS REGISTRATION
Chromaflo Technologies reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. Chromaflo Technologies may also terminate or suspend your access to the Site for inactivity, which is defined as failing to log into a particular service for an extended period of time, as determined by Chromaflo Technologies. Upon termination of the Site, your right to use the Site immediately ceases. Chromaflo Technologies shall have no obligation to maintain any content or to forward any unread or unsent messages to you or any third party.

YOU SPECIFICALLY AGREE THAT CHROMAFLO TECHNOLOGIES SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED, OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE. OUR TRANSMISSIONS

You are prohibited from posting or transmitting to or from the Site any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material, or any other material that could give rise to any civil or criminal liability under the law. Furthermore, you agree to and hereby irrevocably assign, transfer and convey to Chromaflo Technologies any and all right, title and interest in and to any copyrightable or patentable material, intellectual property, information or ideas you transmit to or post on the Site.

TERM OF USE REVISIONS
Chromaflo Technologies may at any time revise these Terms of Use by updating this posting. By using the Site, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current Terms of Use to which you are bound.

WARRANTIES
The Site and any references to products and/or services are provided "as is" without any warranty or implied term of any kind. Chromaflo Technologies products are sold under specific purchase agreements which set forth all terms and conditions of the sale, including warranty terms and exclusions. You should carefully read your sale agreement, especially the limited express warranties which Chromaflo Technologies makes in your agreement. Chromaflo Technologies disclaims and excludes any and all express and implied warranties for your product and/or services which are not set forth in your sale agreement whether or not information on the product appears in the Site. THE EXCLUDED WARRANTIES, INCLUDE BUT ARE NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS F OR A PARTICULAR PURPOSE. Chromaflo Technologies also disclaims and excludes any liability for incidental or consequential damages. Some states (or jurisdictions) do not allow certain of these exclusions, so certain of these exclusions may not apply to you.

GENERAL
This agreement is governed by the laws of the State of Ohio, U.S.A. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Ashtabula County, Ohio, U.S.A. in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree to indemnify and hold Chromaflo Technologies, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the Site. Chromaflo Technologies reserves the right to disclose any personal information about you or your use of the Site, including its contents, without your prior permission if Chromaflo Technologies has a good faith belief that such action is necessary to:

(1) conform to legal requirements or comply with legal process;
(2) protect and defend the rights or property of Chromaflo Technologies or its affiliated companies;
(3) enforce the Terms of Use;
(4) act to protect the interests of its members or others; or
(5) comply with conditions outlined in Chromaflo Technologies' Privacy Statement.

Chromaflo Technologies' performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Chromaflo Technologies' right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Chromaflo Technologies with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Chromaflo Technologies with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Chromaflo Technologies with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form
